USER AGREEMENT

1. PARTIES

1. ADASAN LİMİTED ŞİRKETİ, located at Karataş Yolu 10. Km. No:832/A 01375 Yüreğir ADANA, which carries out the activities of the website [www.yaaz.com](https://www.yaaz.com) (hereinafter referred to as ”Adasan”).

2. The internet user who becomes a member of the [www.yaaz.com](https://www.yaaz.com) website (hereinafter referred to as the ”Member”).

2. SUBJECT OF THE AGREEMENT

1. The subject of this Agreement is to determine the terms and conditions for the Member’s benefit from the website [www.yaaz.com](https://www.yaaz.com) owned by Adasan.

2. Access to Adasan’s visual library (hereinafter referred to as the ”Visual Library”) may be granted to certain members, provided that express and separate permission is given by Adasan within the scope of this agreement.

3. The Visual Library consists of product images, technical drawings, render studies, 2D/3D designs, catalog images, and other digital content owned by Adasan or for which usage rights have been obtained by Adasan.

4. This access constitutes a limited, revocable, non-transferable, and non-exclusive license for use and does not, under any circumstances, result in the transfer of any work, design, or other intellectual property rights.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

1. The Member declares and undertakes that the personal and other information provided while becoming a member of the [www.yaaz.com](https://www.yaaz.com) website is accurate before the law, and that they shall immediately and exactly indemnify Adasan for all damages incurred due to the inaccuracy of such information.

2. The Member cannot give the password provided to them by Adasan to any other person or organization; the right to use the said password belongs personally to the Member. Adasan reserves all rights to compensation and other claims arising from such unauthorized use against all claims and demands that may be put forward by third parties or authorized authorities.

3. The Member agrees and undertakes from the outset to comply with the provisions of the legal legislation while using the website and not to violate them. Otherwise, all legal and criminal liabilities shall be borne entirely and exclusively by the Member.

4. The Member may not use the website in any way that disrupts public order, violates general morality, disturbs or harasses others, for an illegal purpose, or in a way that infringes upon the intellectual and copyrights of others. Furthermore, the Member may not engage in activities (spam, viruses, trojans, etc.) or transactions that prevent or hinder others from using the services.

5. The ideas and thoughts expressed, written, or used by members on the website are entirely the personal opinions of the members and are binding on the owner of the opinion. Adasan has no connection or affiliation with these opinions and thoughts. Adasan shall not be held liable for any damages that third parties may suffer due to the ideas and opinions expressed by the Member, nor for any damages that the Member may suffer due to the ideas and opinions expressed by third parties.

6. The Member agrees in advance not to claim compensation from Adasan for any damage they may suffer due to the use of the website.

7. The Member agrees not to access or use the software and data of other internet users without authorization. Otherwise, the legal and criminal responsibilities arising therefrom belong entirely to the Member.

8. The Member may use the content obtained within the scope of access to the Visual Library only for the promotion of Adasan products, in media previously permitted in writing by Adasan, and strictly limited to the permitted scope.

The Member shall not:

Associate them with products or brands other than Adasan.

Transfer, lend, or provide access to third parties.

Modify or create derivative works.

Turn them into an independent catalog, portfolio, or commercial content.

9. A Member who violates one or more of the articles listed in this membership agreement shall be personally, criminally, and legally responsible for such violation and shall hold Adasan harmless from the legal and criminal consequences of these violations. Furthermore, in the event that the violation is referred to the legal field, Adasan reserves the right to claim compensation against the Member for non-compliance with the membership agreement.

10. The right of access to the Visual Library granted to the Member is personal. Providing direct or indirect access to third parties via username/password or any technical method shall be considered a gross breach of contract. Upon detection of such a breach, Adasan is authorized to:

Terminate the Member’s access immediately and unilaterally.

Suspend or completely cancel the membership.

Demand compensation for damages incurred.

Resort to legal and criminal remedies if deemed necessary.

11. Adasan always has the right to unilaterally delete the Member’s membership and the customer’s files, documents, and information when necessary. The Member accepts this disposal in advance. In this case, Adasan has no liability. Adasan may revoke the access permission granted to the Visual Library at any time without providing any justification and without prior notice.

12. Upon termination, suspension of membership, or revocation of access permission, the Member is obliged to immediately cease the use of all content obtained from the Visual Library and remove this content from all digital and physical environments where it is used.

13. The software and design of the website are the property of Adasan, and the copyrights and/or other intellectual property rights regarding them are protected by relevant laws. These cannot be used, acquired, or changed by the Member without permission. All information and documents in the visual library, including technical drawings of designs offered for sale under the company’s YAAZ brand, are protected under SMK (Industrial Property Law), FSEK (Law on Intellectual and Artistic Works), and TTK (Turkish Commercial Code).

14. In case of unauthorized use, reproduction, or sharing of Visual Library content, legal and criminal proceedings may be initiated against the Member in accordance with Law No. 5846, Law No. 6769, and other relevant legislation. In this case, the Member agrees to indemnify all direct and indirect damages of Adasan in cash and in lump sum upon request.

15. Adasan reserves the right to collect information such as the IP address, date and time of access, and pages visited for the purpose of improving the website or within the framework of legal legislation.

16. Adasan may use the personal information of the members to provide better service and to conduct studies directed towards the special preferences and interests of the users.

17. By becoming a member, the person declares and accepts that they permit Adasan and its affiliates to offer them product introductions, advertisements, campaigns, and surveys. Unless the Member notifies otherwise, this permission continues even after the membership ends.

18. Adasan has taken measures within available possibilities to ensure the website is free of viruses. However, the user must provide their own virus protection system for ultimate security.

19. Adasan reserves the right to change the content of the site or the terms of the membership agreement at any time without prior notice.

20. The parties accept that Adasan’s computer records shall be considered the sole and exclusive evidence in accordance with Article 193 of the HMK (Code of Civil Procedure).

4. TERMINATION OF AGREEMENT

This agreement shall remain in force until the Member cancels their membership or it is canceled by Adasan. Adasan may terminate the agreement unilaterally by canceling the membership if the Member violates any provision.

5. SETTLEMENT OF DISPUTES

Adana Courts and Enforcement Offices are authorized for disputes related to this agreement.

6. ENFORCEMENT

Membership registration means the Member has read and accepted all articles in the agreement. This Agreement was concluded and entered into force at the moment the Member became a member.

EXPLICIT CONSENT STATEMENT FOR THE PROCESSING OF PERSONAL DATA

I hereby give my explicit consent for the processing of my personal data by Adasan, in accordance with the Law No. 6698 on the Protection of Personal Data, for the purposes of enabling me to benefit from the products and services offered by Adasan, increasing customer satisfaction, conducting promotional, marketing and communication activities, and sharing this data with domestic business partners if necessary.

CONSENT TO RECEIVE COMMERCIAL ELECTRONIC COMMUNICATIONS

I authorize Adasan to send me advertisements, promotions, campaigns and similar commercial electronic communications regarding the products and services offered, according to my interests and usage habits, through the following communication channels:

Via telephone

Via email

I acknowledge that I have been informed that I have the right to refuse commercial electronic communications sent to me at any time.
